Most U.S. Funds are structed as partnerships and we advise upon formation, structuring including drafting partnership agreements, allocations of tax items, amortization of intangibles, partnership classifications and conversions, debt restructuring, application of gain triggers upon exiting from partnerships, partnership mergers, reorganizations, and divisions, equity-based compensation, and anti-abuse provisions.
Corporations
Advising upon corporate compliance, group structures and consolidation, debt and equity determination, reorganizations, including acquisitions, divisive reorganizations, and recapitalizations, basis provisions, the assumption of liabilities, related matters. including carryovers of corporate tax attributes, specifically loss corporations, tax due diligence both domestic and international.
International
We advise upon the U.S. tax obligations of foreign investors into the United States and the obligations of U.S. clients investing overseas, including entity formation and classification, the application of tax treaties and reliefs, GILTI/PFIC/CFC issues arising, withholding taxes and reporting obligations, foreign partnerships. We have designed tax structures for services and products into Europe – commissionaire/agency/buy-sell – through intergroup commercial agreements. Transfer of intangible assets and licensing IPR.
